The following set forth the general terms and conditions of submitting a verse to BabyBaby.com. By submitting a verse you agree to be bound by the following rules, which are binding in all respects.

1. Eligibility: You must be 13 years of age or older. If you are under 18 years of age, you must obtain prior parental permission to participate.

2. Internet Posting of Verses: All verses submitted to CL Productions and/or BabyBaby.com, subject to the sole and complete discretion of CL Productions and /or BabyBaby.com, will be posted on the BabyBaby.com Internet Site. Such Postings will be available for the viewing and use of any and all persons visiting the BabyBaby.com Internet Site. All such postings will indicate the name, location, (as well as any other relevant information as solely determined by CL Productions), of the person(s) submitting the verse.

3. Representations: By submitting a verse, for which you may be entitled to receive a cash prize, you hereby represent and warrant each and all of the following: (i) Submissions are original and do not infringe on the rights of others; (ii) you have all rights necessary to submit your entry and you are not bound by any contract which would interfere with your right to receive writing credit all of your undertakings hereunder, and (iii) you agree not to bring or cooperate in any copyright infringement action or other related claim against BabyBaby.com or CL Productions, and agree to hold the foregoing harmless from and against any such action or claim which is based, in whole or in part, on BabyBaby.com and /or CL Productions access to your Submission and/or its use (or any portion thereof), as permitted hereunder.

4. Affidavits and Releases: Submission Winners will be required to sign an affidavit of eligibility and a liability/publicity release in a CL Productions standard form, and any other waivers, releases, assignments or indemnifications that may be required by CL productions and/or BabyBaby.com. If a prize winner is under 18 years of age, all documents must be signed by a parent or legal guardian. All documents must be returned within ten (10) business days of issuance, or the "prize" will be forfeited. All entrants agree to release and hold CL Productions and BabyBaby.com harmless from all liability for injuries, damages and/or expenses that arise from their submission of a verse or from their acceptance or use of a prize. All federal, state and local taxes are the sole responsibility of the winner.

5. Ownership and Use of Submissions: Submissions become the sole property of CL Productions and BabyBaby.com and will not be returned. All Copyright ownership of the submitted verse will be transferred and specifically granted to CL Productions and BabyBaby.com. You may not use any version of your submission, for any personal promotional or distribution purposes, without the signed written consent of CL Productions and BabyBaby.com. By submitting a verse (s), you hereby grant CL Productions and BabyBaby.com the perpetual worldwide gratis right (without obligation) (i) to perform, edit, post and/or publish your verse on any future musical release of CL Production or BabyBaby.com, the BabyBaby.com Web Site and/or any other websites and (ii) to feature your name and photograph, as well as your submission (in whole or in part), both online and off, in all media whether now known or hereafter created.

6. Prize Awards: Cash Prizes will be awarded to the person(s) submitting verse(s) which are chosen to be used in Track One (1) of future BabyBaby releases. This track is the "Classic version" track of BabyBaby. CL Productions and/or BabyBaby.com are not required to award prizes to any verses that are not used in Track One (1), even in the event that they are used in other tracks of future releases. All submissions whether they are selected for future use or not, will become the sole property of CL Productions and BabyBaby.com, and can be used in future releases of BabyBaby. In no event will the total cash prize awarded be greater than $1,000 per Verse selected for use in Track One (1) of any future BabyBaby release. It is CL Productions and/or BabyBaby.com sole discretion to change the submission rules and Prize awards at any time in the future without notice

8. General Conditions: Submissions and Prize awards are void where prohibited by law. Submissions and the payment of any prize awards shall be governed by Massachusetts law, and person(s) submitting verse(s) hereby consent to the exclusive jurisdiction and venue of Massachusetts courts (state and federal) for any cases or controversies arising out of verse submissions. Each entrant waives any and all objections to jurisdiction and venue in those courts. CL Productions and/or BabyBaby.com reserves the right to share submission information in accord with BabyBaby.coms' Privacy Policy as posted on the BabyBaby.com Internet Site. 9. Winner's List: All winner's names will be posted on the Verse Submission page of the BabyBaby.com Internet Site.
